INDEPENDENT CONTRACTOR AGREEMENT

This Independent Contractor Agreement ("Agreement") is entered into between FHG Realty, LLC. ("FHG Realty," "Brokerage," or "Company") and the undersigned licensed real estate professional ("ASSOCIATE"). FHG Realty, LLC. maintains its principal office at: 3080 Park Pond Way, Kissimmee, FL 34741.
1. INDEPENDENT CONTRACTOR RELATIONSHIP
A. Independent Contractor Status. FHG Realty and ASSOCIATE hereby establish a broker/independent contractor relationship and not an employer-employee relationship. ASSOCIATE shall not be considered an employee, servant, partner, joint venturer, or general agent of FHG Realty for federal, state, or local tax purposes. FHG Realty shall not withhold federal income taxes, Social Security taxes, Medicare taxes, unemployment taxes, workers' compensation premiums, or other employment-related deductions. ASSOCIATE shall be responsible for ASSOCIATE's own taxes and business expenses.
B. Independent Business Operations. Except as required by applicable law, Florida Real Estate Commission rules, MLS rules, or written FHG Realty policies, ASSOCIATE retains discretion regarding the manner and means of conducting real estate business. ASSOCIATE is responsible for establishing their own business practices, schedule, prospecting activities, and other business expenses.
C. No Employment Benefits. ASSOCIATE shall not be entitled to employee benefits from FHG Realty, including vacation pay, sick pay, retirement benefits, health insurance, or workers' compensation unless separately required by law.
2. OBLIGATIONS OF ASSOCIATE
ASSOCIATE shall comply with: Florida real estate license law; FREC rules; Fair Housing laws; applicable MLS rules; REALTOR® Code of Ethics if applicable; FHG Realty policies and procedures; and the terms of this Agreement. ASSOCIATE shall promptly notify FHG Realty of any suspension, restriction, disciplinary proceeding, or other material issue affecting ASSOCIATE's license.
3. RIGHTS AND OBLIGATIONS OF FHG REALTY
FHG Realty may make available listings, buyer/seller opportunities, PM opportunities, FSBO opportunities, expired opportunities, commercial opportunities, new construction opportunities, referrals, and other prospective clients. FHG Realty does not guarantee any specific number, quality, or dollar value of leads or transactions.
4. COMPENSATION
Transaction Fee: $399 per transaction/file applies to all plans. This fee may, where permitted and properly disclosed, be charged to the client at ASSOCIATE's discretion.
E&O Insurance: $35 per residential sale (Gold & Elite plans); included for qualifying transactions on the Green/90/10 plan.
Commission Not Yet Collected: FHG Realty shall have no obligation to pay ASSOCIATE on commissions that FHG Realty has not actually received and collected. ASSOCIATE shall not be entitled to advances against commissions unless separately approved in writing.
5. LIABILITY AND INSURANCE
ASSOCIATE shall maintain automobile liability insurance as required by applicable law. ASSOCIATE shall not have authority to bind FHG Realty to any contract or commitment unless authorized. ASSOCIATE shall immediately notify FHG Realty of any complaint, demand, claim, lawsuit, or regulatory matter relating to a transaction conducted through FHG Realty.
6. TERMINATION
A. This Agreement may be terminated by either party upon written notice. FHG Realty may terminate ASSOCIATE's affiliation immediately for serious compliance violations, license issues, misconduct, or fraud.
B. FHG Realty-Generated Leads. Upon termination, ASSOCIATE shall have no continuing right to future compensation from any FHG Realty-generated lead, client, listing, or property management relationship. FHG Realty may immediately reassign any such opportunity. Any property management relationship originated through FHG Realty shall remain with the Brokerage following termination.
7. CONFIDENTIALITY
All FHG Realty confidential information — including client information, lead lists, CRM records, transaction records, pricing, marketing strategies, and proprietary systems — shall remain confidential. ASSOCIATE shall not use confidential information for personal benefit or the benefit of another brokerage. Upon termination, ASSOCIATE shall immediately cease using FHG Realty confidential information and return all company property, credentials, and records.
8. COMPLIANCE AND FAIR HOUSING
ASSOCIATE agrees to comply with all applicable federal, state, and local Fair Housing laws. While affiliated with FHG Realty, ASSOCIATE shall not be licensed with or receive brokerage compensation through another real estate brokerage except as permitted by Florida law and approved by FHG Realty. ASSOCIATE shall conduct business in a professional manner that does not damage the reputation or goodwill of FHG Realty.
9. DISPUTE RESOLUTION
This Agreement shall be governed by the laws of the State of Florida. Disputes shall first be submitted to mediation before litigation. Venue shall be in Osceola County, Florida.
11. COMMISSION PLANS
ASSOCIATE must select one primary commission plan. Plan changes are permitted no more than once every 12 months after completing at least 6 months on the current plan, subject to Brokerage approval.
80/20 Gold Plan: $0/month · $125/yr annual fee · $399/transaction · E&O $35/sale. ASSOCIATE receives 80% of qualifying self-generated residential commissions. Annual cap: Yr1 $15,000 → Yr5+ $11,000. After cap reached, ASSOCIATE receives 100% for the remainder of that year.
90/10 Green Plan: $99/month (or $89/month billed annually) · $59 one-time startup · $399/transaction · E&O included for qualifying transactions. ASSOCIATE receives 90% of qualifying self-generated residential commissions. Annual commission cap: $12,000 brokerage contribution per calendar year. After the cap is reached, ASSOCIATE receives 100% of eligible self-generated residential commissions for the remainder of that calendar year, subject to applicable transaction fees. Includes company-generated lead opportunities and weekly coaching.
100/0 Elite Plan (Approval Required): $149/month · $125/yr · $399/transaction · E&O $35/sale. ASSOCIATE receives 100% of qualifying self-generated residential commissions. Subject to FHG Realty review of licensing history, experience, production, and compliance history. Approval at reasonable discretion of FHG Realty.

ASSOCIATE ACKNOWLEDGMENT
By electronically agreeing below, ASSOCIATE acknowledges that: (1) ASSOCIATE has read this Agreement; (2) ASSOCIATE understands the selected commission plan; (3) Company-generated leads may have different commission splits; (4) FHG Realty does not guarantee income or lead volume; (5) ASSOCIATE agrees to comply with applicable laws and Brokerage policies; (6) ASSOCIATE agrees to maintain accurate license and tax documentation through the agent portal; and (7) ASSOCIATE acknowledges that the FHG Realty Privacy Policy is available through the FHG Realty website and agent portal.
